Terms of Service

1. Who can use CarSignal

CarSignal is for U.S.-based independent auto repair shops and their employees. You must be at least 18 years old and have the authority to enter into this agreement on behalf of your business.

2. Your account

You're responsible for everything that happens under your account, including actions taken by your technicians and staff. Keep your credentials safe and notify us immediately at admin@trycarsignal.com if you suspect unauthorized use.

3. License

Subject to these Terms and your payment of applicable fees, CarSignal grants you a non-exclusive, non-transferable, revocable license to access and use the service for your shop's internal business operations.

Your shop's data belongs to you. CarSignal processes it on your behalf to provide the service, as described in our Privacy Policy. We will not sell your data or share it with advertisers.

6. AI features

CarSignal includes AI-assisted features for diagnostics, repair guidance, summaries, message drafting, quote descriptions, inspection support, and in-app assistance. AI output is generated automatically and may be incomplete, inaccurate, outdated, or inappropriate for a particular vehicle, customer, or repair situation. AI output is intended to assist qualified shop personnel, not replace professional judgment.

You are responsible for reviewing, verifying, editing, and approving any AI-generated content before relying on it, sending it to a customer, using it in an estimate or invoice, ordering parts, or performing repairs. CarSignal is not responsible for repair decisions, customer communications, parts orders, estimates, invoices, or other actions taken based on AI-assisted output.

7. Shop operations, repairs, estimates, invoices, and parts

CarSignal is workflow software for repair shops. It is not a licensed repair dealer, technician, legal advisor, tax advisor, accountant, parts supplier, or compliance service. Your shop is responsible for the work it performs and for complying with all laws and regulations that apply to its business, including laws relating to estimates, repair authorizations, invoices, disclosures, taxes, environmental fees, parts, labor, warranties, customer communications, and recordkeeping.

You are responsible for reviewing all customer-facing and internal records before using or sending them, including quotes, estimates, repair orders, inspections, diagnoses, invoices, payment requests, customer messages, vehicle information, VINs, license plates, mileage, labor rates, labor hours, taxes, fees, parts condition, parts pricing, and totals. CarSignal may help generate, calculate, organize, or display this information, but your shop remains responsible for its accuracy and legal sufficiency.

When using parts-related features, you are responsible for verifying part fitment, availability, supplier, quantity, condition, pricing, delivery, return eligibility, warranty terms, customer authorization, and whether a part is appropriate for the vehicle and repair. CarSignal is not responsible for supplier errors, fitment issues, delivery delays, pricing changes, order issues, or repair outcomes.

8. Third-party services

CarSignal may integrate with or rely on third-party services that you connect, authorize, or use through the service, including services for payments, accounting, messaging, email, parts, calendar, mapping, data, AI, hosting, storage, and other workflow functions. Your use of those services may be governed by their own terms and policies. We are not responsible for the availability, accuracy, security, pricing, actions, omissions, errors, delays, or outages of third-party services.

9. Usage-based service fees and payments

Usage-based pricing. CarSignal may charge through a service fee tied to paid invoices, regardless of how the invoice is paid. Unless a separate written agreement says otherwise, the standard service fee is 1% of the applicable invoice, and CarSignal keeps no more than $200 per shop per month from those service fees. Any service fee collected after the monthly cap is reached remains with the shop.

Who pays the fee.By default, the service fee is shown as a customer-visible line on invoices and paid by your customer. Your shop may choose in Settings to absorb the fee instead — in that case, no fee is shown on customer invoices, and CarSignal collects its capped portion from your shop's payouts (deducted from Stripe transfers for online payments, or billed to your CarSignal payment method on file for manually recorded payments). Either way, the same 1% capped amount applies; only the payer changes.

Collection timing. For online customer invoice payments, CarSignal may collect its capped portion at the time the customer pays. Fees tied to manual, cash, check, or other external payments may be accumulated and billed later to the payment method your shop keeps on file for CarSignal usage billing. You authorize CarSignal and its payment processor to charge that payment method for undisputed amounts owed under the billing model accepted during onboarding or in a separate written agreement.

Payment processor. Payments are processed by our third-party payment processor. By using online payments, you also agree to any payment processor terms presented during payment or account setup. CarSignal does not store full card or bank account numbers; payment data is held by the payment processor.

Price changes.We may change pricing, service-fee rates, caps, or billing methods with at least 30 days' notice unless a separate written agreement provides different terms.

Taxes. Posted prices and service fees do not include applicable taxes. You are responsible for any sales, use, VAT, or similar taxes assessed on your use of CarSignal or on services you provide to your customers.

10. Communications from CarSignal to you

By creating an account, you consent to receive transactional communications from CarSignal at the email address on file — including billing notices, security alerts, important product updates, and outage notices. You can't opt out of transactional communications while you have an active account; closing your account stops them.

We may also send occasional product news, tips, and announcements. You can opt out of these marketing communications at any time by clicking unsubscribe in the email or by emailing admin@trycarsignal.com.

11. Messaging to your customers (SMS & email)

CarSignal lets you send SMS and email messages to your customers, including booking follow-up, appointment reminders, estimate approval links, repair status updates, invoice links, vehicle-ready updates, and responses to customer inquiries. When you use these features:

We may suspend messaging features if we receive complaints or carrier feedback indicating non-compliance. You indemnify CarSignal for any claim arising from your messaging to customers.

12. Termination

You can stop using CarSignal at any time by contacting us. We may suspend or terminate accounts that violate these Terms, fail to pay amounts owed, or pose a security risk. On termination, your access ends; data is handled per our Privacy Policy.

13. Disclaimer of warranties

CarSignal is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service, AI output, integrations, calculations, messages, estimates, invoices, parts information, order information, or other content will be accurate, complete, uninterrupted, secure, timely, or error-free.

14. Limitation of liability

To the maximum extent permitted by law, CarSignal's aggregate liability arising out of or relating to these Terms or the service is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data.

To the maximum extent permitted by law, CarSignal is not liable for claims arising from repair work, diagnosis, inspections, estimates, invoices, taxes, fees, parts selection, parts ordering, supplier issues, customer communications, messaging compliance, third-party services, or your reliance on AI-assisted output or other content generated through the service.

15. Indemnification

You agree to indemnify CarSignal against claims arising from your use of the service, including violations of these Terms, infringement of third-party rights, unlawful messaging to your customers, repair work, customer disputes, estimates, invoices, taxes, fees, parts orders, third-party integrations, regulatory violations, or your use of AI-assisted output.

16. Governing law

These Terms are governed by the laws of the State of California, without regard to conflicts-of-law principles. Disputes will be resolved in the state or federal courts located in California.

17. Changes

We'll post changes to these Terms here and update the "Last updated" date. Material changes will be announced to shop admins by email. Continued use after the effective date constitutes acceptance.
